Section 01
Acceptance of Terms
By accessing the Tasklure Hub website, engaging with any of our representatives, submitting an inquiry form, or entering into any service agreement with Tasklure Hub, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service in their entirety. These Terms constitute a legally binding agreement between you, the client, and Tasklure Hub.
If you are accessing or using our services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" throughout this document shall refer to both you individually and that entity.
If you do not agree with any provision of these Terms of Service, you must immediately discontinue use of the Tasklure Hub website and services. Your continued use of any aspect of our services following notification of any changes to these Terms shall constitute your acceptance of such changes.
Section 02
Description of Services
Tasklure Hub provides business workflow and administrative support services to organizations operating in digital and remote environments. Our services are strictly administrative and operational in nature. We function as a workflow architecture and administrative support provider — not as a financial institution, legal firm, or regulated service entity of any kind.
The services we offer include, but are not limited to, the following categories:
- Task Organization and Workflow Support: The design, documentation, and coordination of task management structures for digital and remote teams, including workflow tracking materials and operational task flow coordination.
- Administrative Resource Preparation: The creation of internal business templates, operational forms, organizational reference documents, and the structuring of shared administrative resource libraries.
- Digital Coordination Assistance: Support for scheduling, coordination activities, and communication timelines using digital and online tools, including the organization of structured operational routines for remote workflows.
- Remote Process Support Services: Accompaniment of digital collaboration environments, organization of online workspace materials, and the preparation of process-oriented documentation for geographically distributed teams.
Tasklure Hub services explicitly do not include financial advisory services, legal counsel, payroll processing, tax preparation, regulated business activities, human resources management involving employee records, or any service that requires professional licensure under applicable state or federal law.
Section 03
Eligibility and Account Registration
To engage the services of Tasklure Hub, you must be at least eighteen (18) years of age and possess the legal capacity to enter into binding contracts under applicable law. By using our services, you represent and warrant that you meet these eligibility requirements.
When you provide information to us during the inquiry or onboarding process, you agree to provide accurate, current, and complete information. You are responsible for maintaining the accuracy of any information submitted and for promptly notifying us of any changes that may affect the delivery of services.
We reserve the right to decline service to any individual or entity for any lawful reason, including but not limited to eligibility concerns, conflicts of interest, or incompatibility with our service model.
Section 04
Service Scope and Limitations
Each engagement with Tasklure Hub is governed by a separate service agreement or statement of work that defines the specific deliverables, timelines, and compensation applicable to that particular project or retainer arrangement. These Terms of Service apply universally to all engagements and supplement, but do not supersede, the terms of any individual service agreement.
The scope of any given service is limited to what is expressly described in the applicable statement of work or project proposal. Any requests for work outside that agreed scope shall require a written scope amendment and may be subject to additional fees.
Tasklure Hub does not guarantee specific business outcomes as a result of our administrative or workflow services. While we apply professional diligence and structured methodologies to every engagement, the results achieved by any organization depend on numerous internal and external factors beyond our control.
We do not provide implementation of software systems, software development, coding, or technical infrastructure work. Our services are advisory, organizational, and documentary in nature.
Section 05
Client Responsibilities
To facilitate effective service delivery, clients are expected to fulfill the following responsibilities throughout the duration of the engagement:
- Provide Tasklure Hub with accurate, complete, and timely access to any information, documents, materials, or systems necessary for the performance of the agreed services.
- Designate a primary point of contact within your organization who has sufficient authority to provide instructions and approve deliverables on behalf of the client organization.
- Review all drafts, proposals, templates, and documentation produced by Tasklure Hub within the review periods specified in the applicable statement of work and provide clear, actionable feedback.
- Ensure that all information shared with Tasklure Hub does not infringe upon the intellectual property rights or confidentiality obligations owed to any third party.
- Comply with all applicable laws and regulations in connection with your use of our services and the information you provide to us.
- Promptly inform Tasklure Hub of any changes in your organizational structure, operational priorities, or project requirements that may affect the delivery of services.
Failure to fulfill these responsibilities may result in delays in service delivery, additional fees, or in extreme cases, the suspension or termination of the service engagement.
Section 06
Fees, Payments and Billing
All fees for Tasklure Hub services are established in the applicable service agreement, statement of work, or project proposal presented to the client prior to commencement of work. Fees are quoted in United States Dollars unless otherwise agreed in writing.
Project-based engagements typically require a deposit of fifty percent (50%) of the total project fee prior to the commencement of work, with the remaining balance due upon delivery of final deliverables. Monthly retainer agreements are billed in advance at the beginning of each billing cycle.
Invoices are due and payable within fourteen (14) calendar days of the invoice date. In the event of late payment, Tasklure Hub reserves the right to suspend service delivery until the outstanding balance is resolved. Accounts overdue by thirty (30) days or more may be subject to a late payment fee equal to 1.5% per month on the outstanding balance.
All fees are exclusive of applicable sales taxes, use taxes, or similar governmental charges, which shall be the sole responsibility of the client. Tasklure Hub will collect and remit such taxes as required by applicable law.
Refunds, if any, are subject to the terms specified in the individual service agreement. In the absence of specific refund provisions, deposits are generally non-refundable once work has commenced.
Section 07
Intellectual Property Rights
Upon receipt of full and final payment for the applicable services, Tasklure Hub assigns to the client all rights, title, and interest in and to the original work products specifically created for that client under the relevant service agreement. This includes templates, workflow documents, process maps, operational procedures, and similar deliverables created exclusively for the client's use.
Notwithstanding the foregoing, Tasklure Hub retains ownership of all pre-existing intellectual property, methodologies, frameworks, tools, templates, processes, and know-how that we developed prior to or independently of the client engagement, as well as all general business knowledge accumulated through our operational experience. Nothing in these Terms shall be construed as a transfer of such pre-existing intellectual property.
Clients grant Tasklure Hub a limited, non-exclusive license to use client-provided materials, information, and data solely for the purpose of performing the agreed services during the term of the engagement. This license terminates upon the conclusion of the engagement.
Neither party shall use the other party's trademarks, trade names, logos, or other brand identifiers in any public communication without the prior written consent of the owning party.
Section 08
Confidentiality
Both parties acknowledge that in the course of the engagement, each may have access to confidential information belonging to the other. "Confidential Information" means any non-public information disclosed by one party to the other in connection with the services, whether disclosed orally, in writing, electronically, or by any other means.
Each party agrees to hold the other's Confidential Information in strict confidence, to use it solely for the purposes of fulfilling obligations under the service agreement, and not to disclose it to any third party without the prior written consent of the disclosing party. These obligations shall survive the termination of the engagement for a period of three (3) years.
Confidential Information does not include information that: (a) is or becomes publicly known through no breach of these Terms; (b) was rightfully known by the receiving party before disclosure; (c) is independently developed by the receiving party without reference to the Confidential Information; or (d) is required to be disclosed by law, regulation, or court order, provided that the receiving party provides prompt notice to the disclosing party and cooperates in any effort to limit disclosure.
Section 09
Data Handling and Privacy
Tasklure Hub is committed to handling all personal and business data shared with us in a responsible and secure manner. Any personal information collected through our website or in the course of service delivery is subject to our Privacy Policy, which is incorporated herein by reference.
We collect only the information necessary to provide the requested services and do not sell, rent, or transfer personal data to third parties for marketing purposes. Access to client data within our organization is restricted to personnel who require it for the performance of their duties.
Clients who share personal data of their own employees, customers, or contractors with Tasklure Hub represent that they have obtained all necessary consents and are legally authorized to do so. Tasklure Hub shall process such third-party personal data only in accordance with the client's instructions and applicable data protection laws.
Section 10
Warranties and Disclaimers
Tasklure Hub warrants that it will perform all services in a professional and workmanlike manner, using personnel who possess the skills and experience reasonably necessary to perform the agreed tasks. We further warrant that we have the right to enter into service agreements with clients and to deliver the work products described therein.
EXCEPT AS EXPRESSLY SET FORTH ABOVE, ALL SERVICES, DELIVERABLES, AND MATERIALS PROVIDED BY TASKLURE HUB ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TASKLURE HUB SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Tasklure Hub does not warrant that our services will achieve specific business results, improvements in revenue, operational efficiency metrics, or any other quantifiable business outcomes. The effectiveness of administrative and workflow systems depends significantly on the manner in which clients implement, use, and adapt the structures we design.
Section 11
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TASKLURE HUB BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF BUSINESS OPPORTUNITY, LOSS OF DATA, OR REPUTATIONAL HARM, ARISING OUT OF OR RELATED TO THESE TERMS OF SERVICE OR ANY SERVICE AGREEMENT, EVEN IF TASKLURE HUB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In no event shall the aggregate liability of Tasklure Hub to any client, for any and all claims arising out of or relating to a specific service engagement, exceed the total fees actually paid by that client to Tasklure Hub in the three (3) calendar months immediately preceding the event giving rise to the claim.
The limitations set forth in this section shall apply regardless of the form of action, whether in contract, tort, strict liability, or otherwise, and shall survive and apply even if any limited remedy specified in these Terms is found to have failed its essential purpose.
Section 12
Indemnification
You agree to indemnify, defend, and hold harmless Tasklure Hub and its officers, directors, employees, contractors, agents, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your breach of any representation, warranty, obligation, or covenant set forth in these Terms of Service or any applicable service agreement.
- Your use or misuse of Tasklure Hub services or deliverables in a manner inconsistent with the intended purpose or these Terms.
- Any claim that materials or information you provided to Tasklure Hub infringe upon the intellectual property rights, privacy rights, or other legal rights of any third party.
- Your violation of any applicable federal, state, local, or international law or regulation in connection with your use of our services.
- Any dispute between you and a third party arising out of or in connection with the services we have provided to you.
Section 13
Term and Termination
These Terms of Service are effective from the date you first access our website or engage our services and continue in full force until terminated in accordance with the provisions herein.
Either party may terminate an active service engagement by providing written notice as specified in the applicable service agreement. In the absence of specific notice provisions, a minimum of thirty (30) calendar days written notice is required to terminate a retainer engagement. Project-based engagements may be terminated for convenience by the client at any time, provided that the client pays for all work completed through the date of termination plus any non-recoverable expenses incurred.
Tasklure Hub reserves the right to terminate any service engagement immediately and without prior notice in the event that: (a) the client fails to make timely payment and the delinquency continues for more than fifteen (15) calendar days after written notice; (b) the client breaches any material provision of these Terms or the service agreement and fails to cure such breach within ten (10) business days of notice; or (c) the client engages in conduct that is unlawful, fraudulent, or harmful to Tasklure Hub or any third party.
Upon termination, all rights and licenses granted to either party under the applicable service agreement shall cease. Provisions of these Terms that by their nature are intended to survive termination, including but not limited to confidentiality, intellectual property, limitation of liability, indemnification, and governing law, shall continue to apply after termination.
Section 14
Modifications to These Terms
Tasklure Hub reserves the right to modify, update, or replace these Terms of Service at any time at our sole discretion. When we make material changes, we will update the document and provide notice through appropriate channels, which may include posting the revised Terms on our website with a notation indicating that updates have been made.
Your continued use of our website or services following the posting of updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must discontinue using our services. For clients with active service agreements, the terms of those agreements shall govern in the event of a conflict with any updated Terms until the conclusion or renewal of the applicable agreement.
Section 15
Governing Law and Dispute Resolution
These Terms of Service and all service agreements between Tasklure Hub and its clients shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles. The parties expressly consent to the exclusive jurisdiction of the state and federal courts located in Denver County, Colorado for the resolution of any dispute arising out of or relating to these Terms or any service engagement.
Prior to initiating any formal legal proceeding, the parties agree to attempt to resolve any dispute, controversy, or claim through good-faith negotiation. Either party may initiate the negotiation process by providing written notice to the other party describing the nature of the dispute and the relief sought. The parties shall have thirty (30) calendar days from the receipt of such notice to attempt to resolve the matter through negotiation.
If the parties are unable to resolve the dispute through negotiation within the specified period, the matter may be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, with the arbitration to be conducted in Denver, Colorado. The decision of the arbitrator shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Section 16
Miscellaneous Provisions
Entire Agreement. These Terms of Service, together with any applicable service agreement, statement of work, or other written agreement executed between the parties, constitute the entire agreement between you and Tasklure Hub with respect to the subject matter hereof and supersede all prior and contemporaneous negotiations, representations, and agreements.
Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if it cannot be made enforceable, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
Waiver. The failure of Tasklure Hub to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. No waiver of any breach or default shall be deemed a waiver of any subsequent breach or default of the same or different nature.
Assignment. You may not assign or transfer any of your rights or obligations under these Terms or any service agreement without the prior written consent of Tasklure Hub. Tasklure Hub may assign its rights and obligations under these Terms to any successor entity in connection with a merger, acquisition, or sale of substantially all of its assets.
Force Majeure. Neither party shall be liable for any delay or failure in performance resulting from causes beyond their reasonable control, including but not limited to natural disasters, government actions, widespread internet outages, or other events that were not foreseeable and could not have been prevented by the exercise of reasonable care.
Independent Contractor. Tasklure Hub operates as an independent contractor in all client engagements. Nothing in these Terms shall be construed to create a partnership, joint venture, employment relationship, or agency relationship between Tasklure Hub and any client.
